Article I - Name

The name of this organization is Williamsport Lycoming Landlord Association, hereinafter referred to as WLLA.

Article II - Purpose

Section 1

To promote decent, safe, crime-free housing by educating and supporting landlords, improving rental property investment, and enhancing our community image.

Section 2

To provide a forum for discussion of common interests, problems, and solutions

Article III - Membership

Section 1

Membership in WLLA shall consist of individual landlords, agencies, and/or organizations interested in becoming affiliated with WLLA.

Section 2

All regular meetings shall be open to the public.

Section 3

Individual membership shall consist of persons, landlords, agencies, or organizations interested in those issues pertinent to the WLLA.

Section 4

The WLLA reserves the right to terminate the membership of any person, landlord, agency, or organization at any time without prior notice upon a majority vote of the members present and voting.

Article IV - Dues

Section 1

The annual dues for members of the WLLA shall be set by the Executive Committee. Dues shall be payable at the beginning of the fiscal year. For members joining the WLLA after the beginning of the fiscal year, pro-rata dues shall be payable upon membership.

Section 2

Any member who does not pay dues within the first sixty (60) days of the fiscal year will be notified in writing. Members in arrears an additional thirty (30) days will forfeit membership and pay an additional $2.00 above the established membership dues.

Article V - Officers

Section 1

The officers of the WLLA shall be President, Vice-President, and Secretary/Treasurer.

Section 2

Officers shall be elected by WLLA members in good standing from among membership at an annual meeting. Terms of the newly-elected officers shall be for two (2) years, beginning immediately following their election.

Section 3

No officer shall be eligible for more than two (2) consecutive terms in the same office.

Section 4

Offices of Vice-President and Secretary/Treasurer that become vacant within a term shall be referred to the Nominating Committee and then shall be filled by election at the next meeting.

Article VI - Duties of Officers

Section 1

The officers shall perform the duties specified in these Bylaws and as designated by the members of the WLLA.

Section 2

The President shall be Chairman of the Counsel and the Executive Committee. In addition, the President shall:

  1. Preside at all Counsel meetings;
  2. Appoint committees otherwise provided for in these Bylaws;
  3. Serve as ex-officio member of all committees except the Committee on Nomination;
  4. Any other duties normally performed by that office.

Section 3

The Vice-President shall:

  1. In the absence of the President, assume the duties of the President;
  2. In the event of a vacancy occurring in the office of the President, the Vice-President shall serve as President.

Section 4

The Secretary/Treasurer shall:

  1. Keep the minutes of all meetings of the WLLA and the Executive Committee;
  2. Conduct the general correspondence of the WLLA;
  3. Send a notice of the time and place of all meetings to the members;
  4. Keep an accurate record of the names and addresses of all members of the WLLA and remove from the roll all members whose dues have not been paid within ninety (90) days after the expiration date of membership;
  5. In the absence of both the President and Vice-President, the Secretary/Treasurer shall assume the duties of President;
  6. Receive all funds of the WLLA and deposit them in a designated bank;
  7. Disburse these funds as authorized by the Bylaws;
  8. Keep an itemized account of all receipts and expenditures and give a report at all business meetings;
  9. Seek approval of the President for disbursement of all funds exceeding $25.00.

Article VII - Committees

Section 1

Executive Committee:

The Executive Committee shall be composed of the officers of the WLLA and Committee Chairman. The duties of the Executive Committee shall be to act for the WLLA subject to approval of the membership at the next regular meeting. Two-thirds (2/3) of the Executive Committee shall constitute a quorum.

Section 2

Standing Committee:

The Standing Committee shall be as follows:

  1. Nominating - is composed of two (2) members of WLLA. The duty of the Nominating Committee shall be to prepare a ballot or ballots for the election of the officers. The Committee shall present a report at the annual meeting of the WLLA.
  2. Publicity - is composed of two (2) members of WLLA. The duty of the Publicity Committee shall be to keep the general public of the county informed of meetings and actions of the WLLA.
  3. Program - is composed of two (2) members of WLLA. The duties of the Program Committee shall be to plan the programs for WLLA meetings.
  4. Membership - is composed of two (2) members of WLLA. The duties of the Membership Committee shall be to solicit membership, in person or by mail. Additionally, this Committee will actively solicit membership applications at the September, October, and November meetings and compile a membership directory. However, memberships will be accepted at any time during the year.

Section 3

Special Committee:

A Special Committee may be created at any time by a majority vote of the members present.

Article VIII - Meetings

Section 1

The annual meeting of the WLLA shall be held when deemed advisable by the Board and be open to the public.

Section 2

Regular meetings shall be held the 2nd Tuesday of each month or as otherwise deemed advisable by the Board at a designated place that can accommodate the group.

Section 3

One third (1/3) of the members shall constitute a quorum for the transaction of business at any meeting.

Section 4

Upon the written request of one third (1/3) of the members in good standing, or whenever it is deemed desirable by the Executive Committee, special meetings shall be called.

Article IX - Fiscal Year

Section 1

The fiscal year of the WLLA shall be from July 1 through June 30.

Article X - Parliamentary Authority

Section 1

The rules contained in Robert's Rules of Order Revised shall govern meetings of the Council in all cases to which they are applicable and in which they are not inconsistent with these Bylaws.

Article XI - Amendments

Section 1

These Bylaws may be amended at any meeting by a two-thirds (2/3) vote of the members present and voting, providing the proposed amendments have been sent within ten (10) days to all members with the notice of the meeting.
